Director Referral Program Agreement

1 — Introduction

This Director Referral Program Agreement ("Agreement") is entered into between Think Pink Connections, LLC ("Company") and you, the participating Mary Kay^® Independent Beauty Consultant ("Director"). This Agreement governs your participation in the Think Pink Connections Director Referral Program ("Program").

By checking the acceptance box in your Think Pink Connections dashboard and clicking "Activate," you confirm that you have read, understood, and agreed to all terms of this Agreement. This Agreement is separate from and in addition to the Think Pink Connections Terms of Service.

2 — Eligibility Requirements

To participate, you must meet ALL of the following requirements at the time of activation and on an ongoing basis:

• Hold a Mary Kay^® IBC title of Director or higher (Senior Director, Executive Director, National Sales Director, etc.)
• Be subscribed to an active Think Pink Connections Radiance plan ($69.99/mo) or Elite plan ($124.99/mo)
• Have an account in good standing — not past_due, suspended, or canceled
• Have read and agreed to this Agreement in full
• Have opted in through the My Team section of your dashboard

3 — Referral Code

• Upon opt-in, you receive one unique, system-generated code
• You cannot create, choose, or customize your code
• One code per account — no secondary or backup codes
• Your code is non-transferable and tied to your account only
• Your code is permanent for the duration of your enrollment period. If eligibility is lost and later regained, a new code is issued (see Section 7)

4 — How the Code Is Applied

• A new rep may enter your code at registration only
• Each new account may have only one referral code — ever. Once entered, it is permanently locked.
• First code entered wins — no overrides possible
• Codes cannot be applied retroactively to existing accounts
• Codes follow the referred rep through plan upgrades. A rep starting on Sparkle/Shine who upgrades to Luminous or above will trigger commission at that point

5 — Commission Structure

5.1 How Commission Is Calculated

• You earn 10% of the actual amount paid by each referred rep each month — calculated on the actual billed amount, not the list price
• If a referred rep received a promotional discount, your commission is calculated on the discounted amount paid
• Commission is rounded to the nearest cent
• Commission begins on the referred rep's SECOND monthly payment — no commission is earned in month 1

5.2 Commission Table

5.3 When Commission Is NOT Paid

• No commission in the referred rep's first month
• No commission if the referred rep's payment fails or enters past_due (resumes if payment recovers)
• No commission for any month the referred rep is on Sparkle or Shine plan
• No commission for any month your account is not in good standing

6 — When Commission Stops

Commission for a specific referred rep stops when:

• The referred rep downgrades to Sparkle or Shine — stops at next billing cycle
• The referred rep cancels — stops immediately
• The referred rep's payment fails — paused that month; resumes if payment recovers
• You (the Director) lose program eligibility — ALL commission stops immediately for ALL referred reps

When a Director loses eligibility, referred reps are NOT reassigned. Commission simply ceases.

7 — Loss of Eligibility

You immediately lose eligibility if:

• Your plan is downgraded below Radiance
• Your account is canceled
• Your account enters past_due or suspended status
• You lose your Mary Kay^® Director title

When eligibility is lost:

1. Your referral code is deactivated immediately
2. All commission payments stop for all referred reps
3. Your accumulated balance is retained — you may still redeem it per Section 8

8 — Payout Options

8.1 Accumulation

• Commission accumulates in your account balance
• Minimum $50.00 (USD) required before any payout
• Balance carries forward indefinitely while account is active
• Balance is forfeited if account is permanently canceled

8.2 Payout Methods

• Bill Credit — Applied to your monthly Think Pink Connections bill. Minimum $50 required.
• Quarterly Check — Mailed to your address on file once per quarter (January, April, July, October). Minimum $50 required. Valid mailing address required.

9 — Dashboard Privacy Rules

Your My Team dashboard shows:

• Referred rep's name
• Active or inactive status
• Current plan tier (Luminous, Glow, Radiance, or Elite) — plan tier ONLY
• Whether commission is being earned this month
• Monthly commission earned per rep
• Your accumulated balance and payout history

10 — Program Rules & Restrictions

• This program applies to new registrations and qualifying plan upgrades only
• You may not incentivize reps to use your code through means outside this program
• You may not misrepresent Think Pink Connections or this program when sharing your code
• Think Pink Connections reserves the right to audit referral activity and withhold commission for fraudulent activity
• Think Pink Connections may modify, suspend, or discontinue the program at any time with reasonable notice
• This Agreement is governed by the laws of the State of Florida. Disputes resolved in Leon County, Florida courts.
